This End User License Agreement ("Agreement") is a legal agreement between you (the "Customer", either an individual or the entity you represent) and IBB Innovations LLC ("IBB", "we", "us") for the IBB Reports Excel add-in and the related cloud service (together, the "Service"). By installing or using the Service, you agree to this Agreement. If you do not agree, do not use the Service.
Subject to your compliance with this Agreement and payment of any applicable fees, IBB grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your internal business purposes during your active subscription or trial.
You will not, and will not permit others to: (a) resell, sublicense, rent, or provide the Service to third parties as a service bureau; (b) reverse engineer, decompile, or attempt to derive the source code of the Service except to the extent that restriction is prohibited by law; (c) remove or alter any proprietary notices; (d) use the Service to build a competing product; or (e) use the Service in violation of any applicable law or Microsoft's terms for Dynamics 365 Business Central, Microsoft 365, or Azure.
The Service authenticates users through Microsoft Entra ID single sign-on and reads Business Central data only within the permissions the signed-in user already holds. You are responsible for maintaining the confidentiality of your accounts and for all activity that occurs under them.
The Service is offered on a subscription basis with tiered plans (Starter, Pro, Enterprise) and may include a time-limited free trial. Fees, billing terms, and plan features are as stated at the point of purchase or in a separate order. Trials convert to a paid plan or revert to a limited plan at the end of the trial period.
Our handling of personal information and Customer data is described in the IBB Reports Privacy Policy, which is incorporated into this Agreement by reference. We read only the Business Central data your permissions allow, do not store the records returned, and do not sell your data or use it to train any model.
The Service, including all software, content, and trademarks, is and remains the exclusive property of IBB and its licensors. This Agreement grants you a license to use the Service, not a sale of any rights in it. You retain all rights in your own Business Central data.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IBB DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REPORTED FIGURES ARE SUITABLE FOR STATUTORY OR AUDIT PURPOSES WITHOUT YOUR OWN REVIEW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA. IBB'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.
This Agreement applies for as long as you use the Service. We may suspend or terminate access for breach of this Agreement or non-payment. You may stop using the Service at any time. Sections that by their nature should survive (including 6, 7, 8, and 10) survive termination.
This Agreement is governed by the laws of the United States and the state of IBB Innovations LLC's principal place of business, without regard to conflict-of-laws rules. The Service is not designed for use where such use would be contrary to law.
We may update this Agreement from time to time. Material changes will be posted at this address with an updated date. Continued use of the Service after a change means you accept the revised Agreement.
